CEP shall provide the following to Client via CEP’s world wide web site known as www.claimseducationpanel.com (“Website”): (a) display Client’s image(s) and/or text based description(s) of Client’s business; (b) display calendar of events, workshops and seminars offered by Client; (c) provide links to Client’s website; and (c) ability to post to and retrieve from a job bank that includes posting of jobs offered and jobs sought. (collectively “Advertisement”)

Client shall supply CEP with design, image or related artwork and text in accordance with specification required by CEP, which CEP shall provide to Client.  CEP reserves the right to reject any Advertisement which is not in proper format, not functional or which it considers unsuitable for display on the Website.  The fee payable by Client to CEP shall be one hundred eighty-nine dollars ($189.00) per year during the term of this Contract. 

This Contract shall commence on the date CEP accepts the Contract, as indicated below and continue for a term of one (1) year thereafter.  This Contract shall automatically renew each year for a like term, unless Client gives CEP written notice to terminate the Contract no less than thirty (30) days prior to expiration of the term. CEP reserves the right to cancel this Contract in the event Client fails to pay the fee as indicated in paragraph 3. above. 

CEP reserves the right in its sole discretion to determine all matters concerning administrative and/or operational issues for the Website, including positioning of Client’s Advertisement.

CEP does not warrant that the functions contained in the Website or the operation of the web pages will be uninterrupted or error free.

Each party owns its respective website and all material and content contained therein.  Nothing herein grants the other party any right, title or license in each other’s intellectual property rights, except only that Client grants CEP the limited, nonexclusive license to display Client’s Advertisement, including trademarks and service marks, on the Website during the term of this Contract.

Client warrants that it’s Advertisement and any technology, information or material distributed through the Website will not infringe or misappropriate any copyright, trademark, patent, trade secrets or privacy rights of any third persons, or otherwise violate this Contract or any applicable law.  Client shall defend, indemnify and hold harmless, CEP, its shareholders, directors, officers, and agents from all liability and expense (including attorney’s fees) arising from any claim to the contrary.

All services, technology or other deliverables are supplied by CEP strictly on an “as is” and “as available” basis without any express or implied warranty, guarantee or other assurance of quality, conformity with specifications, reliability or functionality.  Client accepts all risk concerning suitability, use, performance or non performance.  CEP MAKES NO WARRANTY, EXPRESS OR IMPLIED, AND DISCLAIMS ALL IMPLIED WARRANTIES OR MECHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

In no event shall CEP be liable to Client for any special, indirect, punitive, incidental or consequential damages (including, but not limited to loss of business, lost profits, lost data, business interruption) in connection with this Contract, whether based on contract, tort or otherwise. CEP’s entire liability shall be limited to the amount paid for the Advertisement.

Each party and its officers, employees, agents and representatives are independent contractors as it related to each other.  Nothing herein establishes a partnership, joint venture, association or employment relationship between the parties.

This Contract shall be governed by and construed in accordance with the laws of the State of California.

This Contract represents the entire agreement between the parties with respect to the subject matter herein.  This

Contract shall not be modified or amended except by a writing signed by both parties.
